Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at pathtoprosper.io, any other websites and online tools Prosper operates that link to these Terms, and any content, features, and materials made available through them (together, the "Site"). The Site is operated by Path to Prosper, LLC, a Florida limited liability company doing business as Prosper ("Prosper," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Client Services Are Governed Separately

Professional services, software, and deliverables that Prosper provides to clients are governed exclusively by a separate written agreement, such as a master services agreement and statement of work. If these Terms conflict with a signed agreement between you or your organization and Prosper, the signed agreement controls.

2. Use of the Site

You may use the Site for lawful purposes and for your own informational and business use. You agree not to:

• use the Site in violation of any applicable law or regulation;
• copy, reproduce, distribute, or create derivative works from Site content except as permitted in Section 3;
• attempt to gain unauthorized access to the Site, its systems, or networks, or interfere with their operation;
• use automated means, such as bots or scrapers, to access or collect content from the Site, including for the purpose of training artificial intelligence or machine learning models, without our prior written consent;
• submit false or misleading information, or impersonate any person or organization; or
• upload or transmit malicious code or harmful content.

3. Intellectual Property

The Site and its content, including text, graphics, logos, frameworks, methodologies, articles, and design, are owned by Prosper or its licensors and are protected by copyright, trademark, and other intellectual property laws. "Prosper," the Prosper logo, and related names and marks are trademarks of Path to Prosper, LLC.

We grant you a limited, non-exclusive, non-transferable, revocable license to view and share Site content for your internal, non-commercial use, provided you keep all copyright and other notices intact and attribute the content to Prosper. All rights not expressly granted are reserved.

4. Information You Submit

When you submit information through the Site, such as through a contact form or waitlist, you represent that the information is accurate and that you have the right to provide it. Our handling of personal information is described in our Privacy Policy at pathtoprosper.io/legal/privacy-policy.

Do not submit confidential or proprietary information through the Site. Information submitted through the Site is not treated as confidential unless it is covered by a separate written agreement with Prosper.

If you send us ideas, suggestions, or feedback, you grant Prosper a non-exclusive, perpetual, irrevocable, royalty-free license to use them for any purpose without obligation to you.

5. No Professional Advice

Content on the Site, including articles, perspectives, and research, is provided for general informational purposes only. It does not constitute legal, financial, tax, or other professional advice, and it does not create a client relationship. You should not act on Site content without obtaining advice specific to your circumstances.

6. Third-Party Links

The Site may contain links to third-party websites and services, such as social media platforms. We do not control and are not responsible for their content, policies, or practices. Your use of third-party sites is at your own risk and subject to their terms.

7. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. TO THE FULLEST EXTENT PERMITTED BY LAW, PROSPER DISCLAIMS ALL SUCH WARRANTIES.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PROSPER AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PROSPER'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless Prosper and its members, officers, employees, and agents from any claims, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of your violation of these Terms or your misuse of the Site.

10. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Pinellas County, Florida, and you consent to the personal jurisdiction of those courts.

11. Changes to the Site and These Terms

We may modify, suspend, or discontinue the Site at any time. We may update these Terms from time to time by posting the revised Terms on this page and revising the effective date above. Your continued use of the Site after the effective date constitutes acceptance of the revised Terms.

12. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Prosper regarding the Site. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them without restriction.
